TERMS AND CONDITIONS OF USE OF THE COMPANY AND THE MANAGER
PLEASE READ THIS DOCUMENT CAREFULLY AS THE USE OF FRST SERVICES BY YOU DEMONSTRATES YOUR AGREEMENT WITH THESE TERMS.

By the present Terms and Conditions of Use, on the one hand, FRST – Falconi Road of Skills and Talents Treinamento e Desenvolvimento de Pessoas Ltda., limited company, headquartered in the City and State of São Paulo, at Av. Presidente Juscelino Kubitschek, nº 1.327 , 17. andar, Itaim Bibi, registered with CNPJ/MF under no. 34.639.121/0001-08 (“FRST Falconi”); on the other hand, the Client, qualified in the Adhesion Term, part of these FRST Terms and Conditions of Use (“Terms and Conditions of Use”) and, also, as the consenting intermediary FALCONI CONSULTORES SA, a corporation registered with CNPJ/MF under no. 05.485.279/0001-64, with headquarters at Av. Presidente Juscelino Kubitscheck, nº 1327, Conj. 171 – partly, in the City and State of São Paulo (“FALCONI”), they have the right and adjusted the present among themselves, the content of which they mutually accept, grant and obligate themselves faithfully to fulfill and respect, for themselves and their successors.
The Terms and Conditions of Use described below apply to the use of the services offered by FRST Falconi on its digital platform called FRST – Falconi Road of Skills and Talents (“FRST” or “Platform”) which aims to promote professional development and training excellence, in an intelligent, individualized, practical and interactive way.
The Client, when contracting the product made available at FRST, must read and accept this instrument, as well as agree to the Participants’ Terms and Conditions of Use and the Data Protection and Privacy Policy.
ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE IS ABSOLUTELY INDISPENSABLE TO HIRING AND USING FRST.
FRST FALCONI MAY CHANGE THESE TERMS AND CONDITIONS OF USE, AT ANY TIME, AND MUST SEND A COMMUNICATION TO THE CUSTOMER.

I. OBJECT
1.1. The object of these Terms and Conditions of Use is to establish the rules for the use of the Platform by the Client (necessarily a legal entity) to hire one of the 3 (three) types of Development Days: (i) Road of Skills Program; (ii) Individual Skills Development Module; and (iii) Single Module of Falconi Solutions, duly detailed in Appendix I (“Development Days”).
1.2. The Platform is hosted on a website on the Internet, accessible through the link www.master.frstfalconi.com, whose domain name is under the ownership and administration of FRST Falconi, and offers an online and interactive educational solution, with excellent content and application practice for professional development in a personalized way in the skills associated with the needs of each individual throughout their career.
1.3. To purchase any of the Development Days offered by the Platform, the Customer must make his purchase in two ways: directly through the website www.frstfalconi.com subject to confirmation of payment by FRST Falconi, or by signing the Term of Adhesion document.

II. REGISTRATION AND ACCESS TO PLATFORM
2.1. From the purchase of the Development Day referred to in Clause 1.3 above, the following steps must be observed:
2.1.1. Upon confirmation of the acquisition of the Development Day, under the terms of this instrument, the Client must register the following agents, through its legal representative:
(a) Client: inform (i) company name, (ii) trade name, (iii) registration number in the National Register of Legal Entities – CNPJ, (iv) address, (v) number of licenses of the Road of Skills Program or number of individual modules, (vi) number of certifications, (vii) discount code, if any, (viii) name and surname of the legal representative, and (ix) professional email of the legal representative; as well as adhere to the present Terms and Conditions of Use and all other policies and principles that govern it; and
(b) Manager: indicate 1 (one) Client’s professional designated to accompany the Employees’ Development Day, informing (i) first and last name, (ii) registration number in the Individual Taxpayer Register – CPF, (iii) and corporate email, (iv) contact phone, (v) position and (vi) area in which it operates.
2.1.2. After completing the steps above, the Manager must register the Client’s employees (“Participants”) who will carry out the Development Day, informing the following data: (i) name and surname, (ii) registration number in the Natural Persons Registry – CPF, (iii) corporate e-mail, (iv) telephone number, (v) position and (vi) area in which he operates.
2.2. The Parties agree, by this instrument, that it is not an obligation of FRST Falconi to correct the personal data of the Participants inserted by the Manager, and there is no need to talk about any hypothesis of their liability, whether civilly or criminally, with respect to veracity, accuracy and authenticity of the registered data.
2.3. FRST Falconi hereby reserves the right to use all valid and possible means to identify users registered on the Platform, as well as to request any additional data and documents it deems necessary for this purpose.
2.3.1. If FRST Falconi verifies the existence of incorrect or untrue data, or if a Manager or a Participant refuses to send the required documents, FRST Falconi may block, temporarily suspend or definitively cancel the respective registrations on the Platform, as well as the Customer’s registration, without prejudice to other measures that it deems necessary.
2.4. Respecting the criteria indicated in these Terms and Conditions of Use, only 1 (one) registration can be made for each user of the Platform. FRST Falconi reserves the right to disable all entries made in duplicate, if any.
2.5. With regard to access to the Platform Manager, it will be solely responsible for the transactions made on your account, by affixing password that is known only to those. Accordingly, the Manager recognizes that:
(a) from the first access, you will be agreeing to these Client Terms and Conditions of Use, as well as the Participants Terms and Conditions of Use and the Data Protection and Privacy Policy;
(b) shall access your account through individual login and password; undertaking not to disclose this data to third parties and being fully responsible for the use made of them; and
(c) you must notify FRST Falconi immediately, and through secure means, of any unauthorized use or access of your account.
2.6. Under no circumstances will the assignment, sale, rent or other form of account transfer by any user be permitted.
2.7. FRST Falconi reserves the right to refuse any registration request on the Platform and to cancel any previously accepted registration, provided that it does not comply with the policies and rules of these Terms and Conditions of Use.
2.8. Users of the Platform must be individuals who are civilly capable, in line with the civil legislation in force in Brazil.
2.8.1. If there is any Participant who is absolutely or relatively incapacitated (such as people under the age of eighteen), they must have permission from their parents, guardians or legal representatives, who are solely responsible for all acts performed by the incapacitated person, in the form of the law.
2.8.2. The Client must send the Participant’s authorization to FRST Falconi, through the channels available on the Platform, under penalty of not being granted access to it.

III. PURCHASE AND CANCELLATION CONDITIONS
3.1. The Client hereby acknowledges that the purchase of the Development Day offered by the Platform will only be completed after acceptance of these Terms and Conditions of Use and the Privacy and Data Protection Policy.
3.2. Payment for the purchased Development Day can be made in the following ways: (i) in cash, or (ii) in installments, with the number of installments limited to the time of execution of the service.
3.2.1. In the case of purchase in installments, mentioned in Clause 3.2 above, the delay in the payment of any installment will give rise to the payment of an amount corresponding to 2% (two percent) of the amount due plus interest on a pro rata delay of 1.4 % (one point four percent) per month, starting to collect interest on the due date.
3.2.2. In case the Client fails to make any payment on the due date, FRST Falconi will send, within up to 10 (ten) days from the due date, written notification, indicating (i) the delay, (ii) the additional charges provided for in the Clause 3.2.1 above, and (iii) that said default will result in the cancellation of Participants’ access to the Platform, if it is not regularized within an additional period of up to 5 (days) from receipt of the notification.
3.2.3. In the event that the Customer withdraws from the acquisition of any of the Development Days offered on the Platform, within a period of up to 7 (seven) calendar days after confirmation of the purchase, he will be entitled to a refund of 100% (one hundred percent) of the amount paid.
3.2.4. The invoice, referring to the purchase made by the Client, will be issued by the company responsible for the sale of any of the Development Days offered on the Platform, that is, FRST Falconi or FALCONI.
3.3. After this period, if the Customer withdraws from the acquisition of any of the Development Days offered within the scope of the Platform, and having not started the registration of any employee, he will be entitled to return 50% (fifty percent) of the amount paid, regardless of the time remaining to complete the acquired license (s). If any Participant has registered, FRST Falconi will not be refunded any amount, regardless of the time elapsed since the contracting date.
3.3.1. In the event of withdrawal in accordance with Clause 3.3 above, involving Development Days acquired through payment in installments, the Client will remain under the obligation to proceed with the payment of the corresponding installments, until there is full receipt of the amount established for a fine by FRST Falconi.

IV. MODIFICATIONS TO TERMS AND CONDITIONS OF USE
4.1. FRST Falconi may, at any time, change these Terms and Conditions of Use, with a view to improving and making improvements to the Platform. In this case, they must communicate the referred change to the Client by e-mail and through a message in the restricted area of the Platform for the Manager, being agreed between the Parties that the new Terms and Conditions of Use will come into force 15 (fifteen) days after sending the communication to the Client.
4.1.1. Within 5 (five) days from the disclosure of the changes, the Manager must communicate to FRST Falconi, by e-mail, if the Client does not agree with the amended terms.
In this case, the Parties will discuss how best to resolve the issue.
4.1.2. If there is no manifestation within the period stipulated in Clause 4.1.1 above, it will be understood that the Client has tacitly accepted the new Terms and Conditions, so that the Contract will continue to bind the Parties.
V. NON-EXCLUSIVITY
5.1. These Terms and Conditions of Use are accepted by the Client on a non-exclusive basis, and FRST Falconi is expressly authorized to enter into any other partnerships of the same nature with third parties.
VI. PRODUCTION OF CONTENT BY PARTICIPANTS
6.1. After the registration of Participants by the Manager, as provided in this instrument, an exclusive access area for the Participant will be automatically generated. Through this, the Participant will be able to fill in the data and information necessary to carry out his assessment and develop his skills.
6.1.1 The Participant is solely responsible for the information he/she inserts in his/her access area, including, in this context, the transmission of any content in this area or in the other means of interaction that will be made available, and FRST Falconi must be held harmless from any liability or damage that may cause.
6.1.2 FRST Falconi will monitor the information and content conveyed on the Platform by its Participants, in order to guarantee its quality standards, but will not assume any responsibility, for the Participant, for the veracity, quality and/or losses caused by this information and content served by it.
6.1.3 If any content deemed inappropriate is identified, in its sole discretion, or if it is alerted by any third party about content improperly submitted on the Platform, FRST Falconi reserves the right to proceed with its removal, without the need for any prior notice to that effect, not relieving the Participant of any liability for the losses it may cause.
6.1.4 FRST Falconi may create communities on matters relevant to the Platform, bringing together other Participants with similar interests, having no responsibility for the exchange of information carried out.
6.2. FRST Falconi declares and warrants that (i) it does not intervene in any relationship between the Participants and the Client; and (ii) will not pay any kind of compensation to the Client due to the content sent by its Participants.
6.3. The Client and the Manager hereby declare that they have full knowledge and agree that the Participant is not allowed:
(a) submit, on the Platform, any insults, obscene statements or any other content that may offend human dignity, that encourages or promotes any illegal activity (including, but not limited to, terrorism, incitement to racial hatred or whose publication may constitute itself a criminal offense);
(b) harm other Participants who use the Platform by installing computer viruses or other malicious software;
(c) submit, on the Platform, any misleading, inconvenient, threatening content, defamatory or tormenting;
(d) harass other Participants for their political or religious views;
(e) submit, on the Platform, any illegal content that may encourage criminal conduct, or that is in itself, a criminal action; and
(f) submit, on the Platform, content that violates the intellectual property of other people or image rights.
6.4. The Client further declares and warrants:
(i) to have full knowledge that the Participant, in the respective Terms and Conditions of Use signed by him, guarantees to be the only and exclusive responsible for the content that he will make available through the Platform, as well as for the consequences resulting from its sending or publication, responding civilly and criminally for the content in reference, FRST Falconi having no responsibility for it;
(ii) to be aware that the Participant is strictly prohibited from submitting (a) any material or parts of material protected by copyright, trade secret or third parties, including privacy, property and advertising, without authorization from the respective author and / or the representative of the work; and (b) images of people without their prior authorization, under penalty of incurring the sanctions provided for in Brazilian law and in these Terms and Conditions of Use;

(iii) to be the owner or possess the licenses, rights, authorizations or permissions necessary to use all property rights, trademark, trade secret, right to image, copyright, connection or other proprietary rights or related to all and any material you may share on the Platform; and

(iv) that authorizes FRST Falconi, totally free of charge, on a universal basis, in a total, definitive, irrevocable and irreversible manner, to use, at any time, in Brazil and/or abroad, the content made available by the Participants on the Platform, at its sole discretion, without any remuneration being due to the Client and provided that the criteria established in the Privacy and Data Protection Policy are met.

6.5. The Client hereby expressly authorizes FRST Falconi to quote his trade name and brand, in graphic, printed or digital materials, as a client of the platform, at any time, during and after the term of this Agreement, without being any payment or remuneration due to any title, by any of the Parties, for said authorization of use.

(i) The Client may request the interruption of the use of his trademark and trade name, as well as the withdrawal of any materials in circulation, by sending a written communication 30 (thirty) days in advance of the completed date. FRST Falconi will take the appropriate measures to meet the Client’s request in a reasonable time, except in cases of impossible compliance, such as materials already circulated and distributed, in online or physical format. The Client declares that he is aware that nothing will be due to him for compensation in this regard.
6.6. In the event that the Development Day is indicated for a Participant who may eventually disconnect from the Client or discontinue use of the Platform, the Client acknowledges that he will not be able to replace the referred Participants with another one, with no indemnity, payment or remuneration to the Client in this hypothesis.
VII. DEADLINES FOR THE USE OF THE PLATFORM
7.1. During the use of the Platform, the Customer undertakes to ensure:
(i) the fulfillment of the qualification phase of all contracted licenses, understanding that this phase encompasses the entire period from the moment of the Manager’s registration to the Participants’ registration, within a maximum period of 3 (three) months;
(ii) compliance with the deadlines for completion of any type of Development;
(iii) ensure access to the content, related to the module, which are made available on the Platform by FRST Falconi during the period in which they are available;
(iv) ensure the submission of content and filling in information on the Platform, by its Participants, in any type of Development Day, always in accordance with the terms and conditions contained in the Platform and previously defined by FRST Falconi; and
(v) the performance: (a) of the assessments to be carried out by each Participant, (b) of the assessment according to the assessment of each Participant by the Manager; and (c) the analysis of the results by the Manager; all within the respective terms established in these Terms and Conditions of Use.
7.2. Specifically with respect to item (iii) above, for the Development Journeys Program of the Road of Skills Program and the Individual Competence Development Module, access to the contents of each module will be available for Participant access for a period of 6 (six) months from the start of the module, limited to a maximum period of 12 (twelve) months from the start of the operation.
7.3. In relation to the commitments assumed by the Client pursuant to Clause 7.1 above, if FRST Falconi grants, in an exceptional character, an additional term for the use of the remaining and unused licenses by the Client within the scope of the Platform, this fact will be characterized as mere liberality, all other terms applicable to the exercise of other rights or activities being unaltered.

7.4. Likewise, if FRST Falconi grants, on an exceptional basis, additional time for the fulfillment of trail, module, content submission or information filling in the Platform, in any development modality, this fact will be characterized as mere liberality, remaining unchanged all other terms applicable to the exercise of other rights or activities.

7.5. During the use of the Platform, the Manager undertakes to provide data and fill in any information, always in accordance with the terms and conditions indicated on the Platform and previously defined by FRST Falconi.

VIII. INTELLECTUAL PROPERTY
8.1. The commercial use of the expression “FRST” as a brand, business name or domain name, as well as all content available on the Platform, including, but not limited to, brands, logos, texts, graphics, photographs, videos, audio content, screens, computer programs, databases, transmission files and other instruments that allow the Manager and Participants to access and use their accounts, are properties of FRST Falconi and are protected by international laws and treaties of copyright laws, trademarks, patents, models and industrial designs. Copying, reproduction, distribution, transmission, publication, connection or any other form of misuse of said content is prohibited, except with express authorization from FRST Falconi.
8.1.1. As a FRST licensee, FALCONI may also appear as a Development Days trader, sublicensing content to Customers for the maximum duration and observing the conditions set out in the respective Attachments.
8.2. The Manager and the Client declare and acknowledge that the reproduction of any content on the Platform does not confer their ownership.
8.3. Any brands displayed on the Platform or any other website operated in conjunction with the Platform should not be considered as in the public domain and are the exclusive property of FRST Falconi, its partners or third party licensors, as the case may be.
8.4. The reproduction of the content available on the Platform without the proper authorization, or even without the corresponding citation and reference to the Platform will constitute an infringement of FRST Falconi’s intellectual property rights, and will subject the infringer (Client or Manager) to applicable administrative, civil and criminal sanctions.
8.5. The functionalities that make up the Platform are offered in the form of service provision, not giving the Manager or the Client any rights over the software used by FRST Falconi or its IT structures that support the Platform.
8.6. Should the Client and / or the Participant disclose or use any information related to the Service, FRST Falconi will be exempted from any liability.

IX. PRIVACY OF INFORMATION
9.1. All information or personal data provided by the Manager to FRST Falconi for the use of the “FRST” brand is stored on servers or high security magnetic media.
9.2. FRST Falconi will take all possible measures to maintain the necessary confidentiality and security, but will not be held liable for damages that may be derived from the violation of these measures by third parties using public networks or the internet, subverting the security systems to access the information of the Client, the Manager or the Participants.
9.2.1 FRST Falconi, when using any of the information treated in Clause 6.4 (iii) of these Terms and Conditions of Use, will not identify the ownership of the data, maintaining the anonymity of the Client, the Manager and the Participants.
9.3. In case of doubts about the protection of personal data or to obtain more information about personal data and the cases in which the confidentiality referred to in this Clause may be broken, the Client and the Manager should consult the Privacy and Data Protection Policy of FRST, which is an integral part of these Terms and Conditions of Use.
X. CUSTOMER OBLIGATIONS
10.1. Under penalty of being banned from the Platform, the Client undertakes to:
(a) inform the Manager of these Terms and Conditions of Use and all the principles that govern it, as well as the Participants’ Terms and Conditions of Use and the Privacy and Data Protection Policy;
(b) inform the Manager that he shall use his best efforts to: (i) prevent unauthorized access or use of his account on the Platform, (ii) notify FRST Falconi of said unauthorized use; and (ii) not to transmit materials containing software viruses or other harmful codes, files, scripts, agents or computer programs.
(c) provide and keep updated the necessary data for registration of Participants on the Platform, as well as to provide any information requested by FRST Falconi for the execution of the Service;
(d) pay the remuneration for using the Platform;
(e) comply with the provisions of these Terms and Conditions of Use;
(f) make their best efforts to ensure that Participants comply with the obligations contained in the Terms and Conditions of Use that are relevant to them;
(g) make their best efforts to ensure that Participants do not perform activities that are prohibited for them;
(h) immediately inform FRST Falconi of any change in corporate control; and
(i) answer for possible violations by the Manager and / or the Participants the provisions of these Terms and Conditions of Use and all the principles that govern it, as well as the Participants’ Terms and Conditions of Use and the Privacy and Data Protection Policy.

10.2. The Client and the Manager are prohibited from using the Platform for any other purpose that is not foreseen in the description of the Development Day, as provided in the Preamble and Clause One of these Terms and Conditions of Use.
10.3. For security reasons, Customer, Manager and / or Participant registrations may be suspended, at the discretion of FRST Falconi, if it suspects any illegitimacy, fraud or any other act contrary to the provisions of these Terms and Conditions of Use.
10.4. Without prejudice to other measures, FRST Falconi may warn, suspend or cancel, temporarily or permanently, the registration of the Client or Manager on the Platform, at any time, initiating the appropriate legal actions and / or suspending the provision of the Service if:
(a) the Client or the Manager does not fulfill any rights and obligations provided for in these Terms and Conditions of Use;
(b) the Client or the Manager performs fraudulent or intentional acts;
(c) the identity of the Manager or Participant cannot be verified; and
(d) understand that the content conveyed on the Platform, or any attitude of the Client or the Manager, has caused damage to third parties or to FRST Falconi itself or to the Platform or has the potential to do so.
10.5. In the event of disabling the Client or Manager’s registration, access to the Platform will be automatically canceled.

XI. PARTIES’ RESPONSIBILITIES
11.1. FRST Falconi is responsible for any damages caused to the Client due to defects or defects relating exclusively to the Platform, provided that FRST Falconi has given proven cause to said defects or defects, there being no mention of its liability for defects or technical defects and/or operational from the Client, Manager or third party system.
11.2. FRST Falconi is not responsible for or participates, in any way, in any contractual relationship established between the Client and third parties due to content conveyed in FRST.
11.3. The Client and the Manager are responsible for the improper use of any functionality of the Platform, being responsible for the use of their account, observing the Brazilian legislation in force.
11.4. The Manager will be responsible for any fraud carried out by himself or by third parties linked to him, in a virtual or physical environment, of culpable or intentional actions or omissions, or even, arising from the violation of any conditions established in these Terms and Conditions of Use.
11.4.1. FRST Falconi may retain or not carry out operations if, at its discretion, it checks the possibility that fraud or other crimes are being committed, whether virtual or physical, related to the Client or the Manager, and must inform them about such unlawful act within the term 15 (fifteen) days.
11.5. The Client will indemnify FRST Falconi, its subsidiaries, controlled or controlling companies, directors, administrators, employees, representatives and employees for any demand promoted by third parties arising from their activities on the Platform or for non-compliance with the Terms and Conditions of Use, and also, for violation of any law or third party rights, including lawyers’ fees.

XII. CONFIDENTIALITY
12.1. For the treatment of issues related to the attribution of confidentiality of these Terms and Conditions of Use, it is understood by:
(a) “Information”: the data, documents and materials that are relevant to it;
(b) “Confidential Information”: any and all information disclosed directly or indirectly by FRST Falconi, such as business models and strategies, product/system characteristics (pre-existing, new and under development), information about software, information involving law and industrial property or copyright, information about projects, software tools, hardware designs, algorithms, user interface design, documentation in any format, techniques and methods, formulas, demonstrations, contracts, presentations, reports, lists, prices, studies and market research. Confidential Information includes all and any content shared with the Client, due to the activities carried out by FRST Falconi, and all information provided (whether in written or oral form, directly or indirectly) by it, its representatives, directors, officers and employees, either before or after the date of consent with these Terms and Conditions of Use and marked, or indicated, as “Confidential” or similar, or whose recipient reasonably believes it to be Confidential Information due to its nature or the circumstances of the Development Day;
(c) “Authorized Persons”: Customer representatives and attorneys, as well as the Manager, pursuant to these Terms and Conditions of Use; and
(d) “Secrecy”: protection against unauthorized treatment of Confidential Information.
12.2. The Confidential Information disclosed must be kept secret, and must not be disclosed to third parties or used for purposes other than those defined in this instrument, without due authorization from FRST Falconi.
12.3. Confidential Information may be contained or transmitted by any means, including, among others, written, graphic, verbal, mechanical, electronic, digital, magnetic or cryptographic means.
12.4. The Client hereby acknowledges that the Confidential Information is the exclusive property of FRST Falconi, constituting its trade secret, and agrees that the Confidential Information will be used only in the process of using the Platform, the Client being expressly prohibited from using the Confidential Information for any other purpose.
12.5. In case of doubt about the confidentiality of certain information, the Client must treat it confidentially until it is authorized to treat it differently by FRST Falconi. In no way will the FRST Falconi’s silence be interpreted as releasing the commitment to keep information confidential.
12.6. The Confidential Information provided should only be disclosed to Authorized Persons, to the strict extent that such disclosure is necessary, and the Client must inform them about the confidential nature of the Information, as well as making these persons treat such Information as confidential, as provided in these Terms and Conditions of Use.
12.7. The Client and the Manager agree not to reveal the clauses and conditions of these Terms and Conditions of Use, as well as the object of this instrument or any of its elements, without the prior written consent of FRST Falconi, except to its lawyers, auditors and accountants. .
12.8. The Client, without prejudice to the other obligations provided for in these Terms and Conditions of Use, undertakes to communicate to FRST Falconi in advance, in the event of a request for disclosure of Confidential Information due to compliance with the law, judicial determination or with the competent inspection agency of the activities involved by any of the Parties, being, in any of the cases, disclosed only within the limits strictly required for its disclosure.
12.9. Only grounds for exception to the obligation of secrecy will be legitimate, the occurrence of disclosure, in the cases in which the Information:
(a) is in the public domain prior to its disclosure to the Client, by legitimate sources other than FRST Falconi;
(b) it is already known to the Client when it is disclosed to the Client or its representatives, by legitimate sources other than FRST Falconi;
(c) become publicly available to third parties after disclosure to the Client, without such fact having occurred through fault or intent thereof;
(d) it has been proven, legally and legitimately, by another source that does not have, directly or indirectly, an obligation of confidentiality with the Client;
(e) whose disclosure to third parties (other than Authorized Persons) is previously and expressly authorized in writing by FRST Falconi; and
(f) is requested through a court order by a competent governmental authority, in which case the Client must notify FRST Falconi and its representatives of the order in advance, in addition to using commercially reasonable efforts to limit the extent of such opening.
12.10.The Client acknowledges that the breach of any of the confidentiality obligations mentioned in this Clause makes it subject to a fine on the amount of 50% (fifty percent) of the value of the contract between the Parties, in favor of FRST Falconi, in addition to the application of the applicable civil and criminal penalties, under the terms of the law, also committing itself to exempt and / or indemnify FRST Falconi from any and all damages, losses or liability that may be imputed or suffered by FRST Falconi.

XIII. GENERAL PROVISIONS
13.1. The FRST Privacy and Data Protection Policy is an integral and inseparable part of these Terms and Conditions of Use, which can be consulted on the Platform’s own homepage and is available on the website www.frstfalconi.com.
13.2. The Customer declares that he is aware that the completion of any module or trail on the Platform does not guarantee the absorption of the knowledge dealt with there, and it is certain that the knowledge obtained with the Service will depend directly on the individual engagement of the Participants.
13.3. These Terms and Conditions of Use do not create any partnership, mandate, franchise or employment relationship between FRST Falconi and the Client or the Manager.
13.4. FRST Falconi is not responsible for any damage, or loss suffered by the Client due to failures on the internet, in the system or in the server resulting from third party conduct, unforeseeable circumstances or force majeure. FRST Falconi will also not be responsible for any virus that could attack the equipment of the Client or the Manager due to access, use or browsing internet or as a result of transferring data, files, images, text or audio.
13.5. The failure or tolerance of FRST Falconi to demand strict compliance with these Terms and Conditions of Use will not constitute novation or waiver, nor will it affect its rights, which may be exercised at any time.
13.6. All items in these Terms and Conditions of Use are governed by the laws in force in the Federative Republic of Brazil. For all matters relating to interpretation, compliance or any other question related to these Terms and Conditions of Use, the Parties agree to submit to the Central Forum of the District of São Paulo.

ANNEX I
DETAILING DEVELOPMENT DAYS
By this instrument, and according to Clause 1.1 of the Terms and Conditions of Use, the professional development and training service offered on the Platform can be performed through 3 (three) Development Days in different modalities, described below.
For each modality, there is a distinct operation flow, detailed in Annex II.
(A) Road of Skills PROGRAM
The Road of Skills Program comprises three important steps: (i) initial assessment to identify competency gaps; (ii) the learning path, composed of 3 (three) content modules, which encompass all the tools of engagement and interaction for the development of the specific competences of each Participant and the seal of completion; and (iii) final assessment to identify the evolution in the development of their skills, in order to enable the next journey within the concept of lifelong learning.
1. The initial assessment stage consists of the assessment of the main socio-emotional characteristics and competences of each Participant, being carried out immediately after the participant’s registration on the Platform.
2. In order to map the socio-emotional characteristics and identify the skills gaps, the Participant needs to prepare an essay and / or answer various questions until it generates a content that presents between 600 (six hundred) and 1,200 (thousand and two hundred) words, at most. Based on this content, FRST, through an artificial intelligence system, will carry out an analysis of the Participant’s socio-emotional profile and opportunities for developing his skills.
3. After the completion of 80% (eighty percent) of the initial assessment by the Participants, the Manager will be able to define the Service path.
3.1. The Manager may choose to define an individualized trail for each employee or define a standard trail for all employees.
3.2. The performance of the Manager in this phase, however, is restricted to the choice of the trail that will be offered to each Participant, and he cannot make any changes to the content of the assessment report.
4. Each trail lasts 4 (four) months and consists of 3 (three) modules lasting 5 (five) weeks each. The modules are aimed at developing one or more of the Participants’ skills.
5. Each module consists of stages of theoretical and practical learning, with the submission of 1 (one) real project of practical application.
5.1. The theoretical learning stage comprises: (a) content, being: (i) module’s menu, (ii) 1 (one) masterclass, (iii) Problem Based Learning – PBL, learning methodology based on the resolution of real problems, ( iv) video lessons, (v) interactive whitepaper (dynamic reading material to deepen the content), (vi) quizzes to assess the evolution of knowledge throughout the module, (vii) study of pre-formatted cases, and (viii) podcast with responses from study carried out; as well as (b) interaction tools, being: (a) comments and annotations in video classes; (b) question and answer forum; and (iii) weekly feedback sessions.
5.1.1. Weekly feedback sessions will take place through lives with specialists of FRST Falconi carried out on a day and time predetermined by FRST Falconi, with the participation of all classes that start the same module and are therefore not restricted to the participation of Customer Participants. The sessions will also be recorded and will be available for consultation by the Participants throughout the execution of the respective module.
5.2. The practical learning stage consists of the elaboration of 1 (one) project to be applied in a real case and the submission of the respective project on the Platform to: (i) allow collaboration in the peer-to-peer modality, where each Participant makes contributions in the other Participant’s project; and (ii) that can be presented in a live project discussion session with a Platform specialist.
5.2.1. The project discussion session will take place on a day and time predetermined by FRST Falconi, and will be restricted to Client Participants.
5.2.2. Collaboration in the analysis of the project between Participants will take place anonymously and will be mandatory for 1 (one) project defined at random, with the Participant being able to choose to analyze more than one project. This peer-to-peer collaboration will also be restricted to Client Participants.
5.2.3. The actual projects to be presented by the Participant in the discussion session of the project will be selected from: (i) free choice of the Participant and / or (ii) expert assessment by FRST Falconi, based on compliance with the practical application of the content in the construction of the actual project available within each module.
5.2.4. The projects submitted on the Platform can also be presented at webinar with the participation of an expert from the Platform and members of the leadership of the Client.
5.3. Throughout the learning stages, the Manager will have access to reports on the evolution of the team that is in the development process, being able to monitor the engagement and performance of employees in the program.
5.4. Upon completing 1 (one) module, consuming the content of the theoretical learning objects and submitting the actual project on the Platform, the Participant receives 1 (one) Module Completion Seal and, at the end of the completion of the 3 (three) modules assigned to him in the Road Of Skills Program, the Participant receives 1 (one) Trail Completion Badge.
5.4.1. Upon receiving the Trail Completion Badge, the Participant will be entitled to request FRST Certification for modules completed after submission of real project with effective results, ratified by the Client’s leadership and evaluation by FRST Falconi specialists. In addition, the Participant may return to the Platform as a mentor after achieving the FRST Certification.
6. After completing the learning trail, the Participant will be able to take a new assessment to obtain an indication of the next steps of his development journey.
7. The contents related to each module will be available to the Participant for a period of 6 (six) months from the date that the module starts, this period being limited to 12 (twelve) months from the beginning of the Road of Skills Program operation.
(B) SPECIFIC MODULE FOR DEVELOPING SKILLS
The Individual Skills Development Module consists only of the theoretical and practical learning stages of 1 (one) module lasting 5 (five) weeks and the same composition described in Clauses 5.1 and 5.2 of modality (A) of this Annex, with the respective receipt of the Module Completion Seal at the end, respecting the consumption of theoretical learning objects and submission of the real project to the Platform by the Participant.

(C) SINGLE FALCONI SOLUTIONS MODULE
The Single Module of Falconi Solutions consists of 1 (one) theoretical learning module consisting of (i) the module’s menu, (ii) video lessons, (iii) complementary reading material to deepen the content, (iv) quizzes to evaluate the evolution of knowledge throughout the module, (v) study of pre-formatted cases, and (vi) e-book defined based on the content of the module.
1. The module will be available for access for 2 (two) months, so that it will not be possible to access any available content, produced or inserted during its execution under the FRST after this period.
2. Upon completing the module, consuming the content of the theoretical learning objects, the Participant will be entitled to receive 1 (one) Module Completion Seal.
3. During the theoretical learning steps mentioned above, the Manager will have access to reports on the evolution of the Participants, being able to monitor their engagement in the program; and after the completion of the module by the Participants, the Manager may have access to the engagement results of each Participant.

ANNEX II
OPERATING FLOWS
Under this instrument, and as provided in Annex I to the Terms and Conditions of Use, each Development Day offered on the Platform has different operating flows, detailed below.
(A) Road of Skills PROGRAM
1. For the Road of Skills Program format, after confirming the purchase, FRST Falconi has a maximum period of 3 (three) business days to allow the Manager’s access to the Platform.
2. From the first access, the Manager must register the Participants on the Platform, according to the number of licenses acquired, observing the rules below:
(i) the Manager must have registered 100% (one hundred percent) of the licenses acquired to start the Client’s first operation flow; and
(ii) the Manager must register and enroll all Participants in the intended learning trail within a period of 3 (three) months, counting from the release of the Manager’s access. After the expiry of this period, the licenses will expire; and
3. The Manager must define the deadline for the Participants to carry out the initial assessment and release them so that they can carry out the assessment in the form detailed in the form of these Terms and Conditions of Use. After completing the assessment, the Client cannot substitute his Participant’s license for another employee.
3.1. The Manager must also determine the start date of the learning path among options pre-defined by FRST Falconi, so that the Participants’ enrollments are effective.
3.2. As indicated in these Terms and Conditions of Use, the Manager will be able to define the Participants’ trail after the completion of 80% (eighty percent) of the assessments. However, if this percentage is not reached by the date established by the Manager, only 1 (one) extension of the deadline for its completion will be allowed.
3.3. Within 5 (five) working days from the date of completion of the learning trail by the Participants, the Manager may release the performance of a new assessment, and may not exceed the deadline of 1 (one) month from the date release.

(B) SPECIFIC COMPETENCE MODULE
1. For the Single Competence Module format, after confirmation of purchase, FRST Falconi has a maximum period of 5 (five) working days to allow Participant access to FRST.
2. The provisions of Clause 3 above, referring to the Road of Skills Program, apply, as applicable, with activities and deadlines limited to the module acquired. In this format, interactions through feedback sessions and project discussions will not be restricted to Client Participants.

(C) SPECIAL FALCONI SOLUTIONS MODULE
1. For the Falconi Single Module format, after confirmation of purchase, FRST Falconi has a maximum period of 5 (five) working days to allow the Manager’s access to FRST.
2. From the first access, the Manager must register the Participants in the FRST, according to the number of licenses acquired, as per these Terms and Conditions of Use, noting that:
(i) the Manager must have registered 100% (one hundred percent) of the licenses acquired to start the Client’s first operation flow; and
(ii) the Manager must register and enroll all Participants in the intended module within a period of 3 (three) months, counting from the release of their access. After the expiry of this period, the licenses will expire.
3. The Manager must also determine the start date of the module among pre-defined options by FRST Falconi, so that the enrollments of the Participants are effective.

PARTICIPANT TERMS AND CONDITIONS OF USE
PLEASE READ THIS DOCUMENT CAREFULLY AS THE USE OF FRST SERVICES BY YOU DEMONSTRATES YOUR AGREEMENT WITH THESE TERMS.

By the present Terms and Conditions of Use, on the one hand, FRST – Falconi Road of Skills and Talents Training and Development of People Ltd., limited company, headquartered in the City and State of São Paulo, at Av. Presidente Juscelino Kubitschek, nº 1.327 , 17th floor, Itaim Bibi, registered with CNPJ / MF under number 34.639.121 / 0001-08 (“FRST Falconi”) and, on the other hand, Participant, a natural person registered by the Manager at the Development Day contracted by the Client, have the present is certain and adjusted, the content of which they mutually accept, bestow and obligate themselves faithfully to fulfill and respect, for themselves and their successors.
The Terms and Conditions of Use apply to the use of the services offered by FRST Falconi on its digital platform called FRST – Falconi Road of Skills and Talents (“FRST” or “Platform”) which aims to promote professional development and training of excellence, in an intelligent, individualized, practical, interactive way, through which each Participant can develop their own skills.
The Participant when being included in the FRST must read and accept this instrument, as well as comply with the Privacy and Data Protection Policy.
ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE IS ABSOLUTELY INDISPENSABLE TO THE USE OF FRST.
FRST FALCONI MAY CHANGE THESE TERMS AND CONDITIONS OF USE, AT ANY TIME, MUST SEND A COMMUNICATION TO THE CUSTOMER AND THE PARTICIPANT.
I. OBJECT
1.1. The object of these Terms and Conditions of Use is to establish the rules so that the Participant can access and carry out the type of Development Journey contracted by the Client, which may be: (i) Road of Skills Program; (ii) Individual Skills Development Module; and (iii) Single Module of Falconi Solutions, duly detailed in Appendix I (“Development Day”).
1.1.1. The Development Journey modality is chosen by the Client when contracting the Platform for the development of the Participants.
1.2. The Platform is hosted on a website on the Internet, accessible through the link www.master.frstfalconi.com, whose domain name is under the ownership and administration of FRST Falconi, and offers an online and interactive educational solution, with excellent content and practical application for professional development in a personalized way in the skills associated with the needs of each individual throughout his career.

II. REGISTRATION AND ACCESS TO PLATFORM
2.1. Registration of Participants, who will hold the Development Day on the Platform will be carried out by the Manager, informing the following data: (i) name and surname, (ii) registration number in the Individual Taxpayer Register – CPF, (iii) corporate e-mail, (iv) phone, (v) position and (vi) the area in which it operates.
2.1. Respecting the criteria indicated in these Terms and Conditions of Use, the Participant will have only 1 (one) registration on the Platform. FRST Falconi reserves the right to disable all entries made in duplicate, if any.
2.2. With regard to access to the Platform by the Participant, the Participant will be solely responsible for the operations carried out on his account, by appending a password that is his exclusive knowledge. Accordingly, the Participant acknowledges that:
(a) from the first access, you will be agreeing to these Participant Terms and Conditions of Use and the Privacy and Data Protection Policy;
(b) access your account through individual login and password; and undertakes not to disclose this data to third parties, being fully responsible for the use made from them; and
(c) you must notify FRST Falconi immediately, and through secure means, of any unauthorized use or access of your account.
2.3. Under no circumstances will the assignment, sale, rent or other form of account transfer be permitted by any Participant.
2.4. FRST Falconi reserves the right to refuse any registration request on the Platform and to cancel any previously accepted registration, provided that it does not comply with the policies and rules of these Terms and Conditions of Use.
III. MODIFICATIONS TO TERMS AND CONDITIONS OF USE
3.1. FRST Falconi may, at any time, change these Terms and Conditions of Use, with a view to improving the Platform. In this case, the Participant must communicate the referred change by email and via message in the restricted area of the Platform, and it is agreed between the Parties that the new Terms and Conditions of Use will come into force 15 (fifteen) days after the communication is sent to the Participant.
3.1.1 Within 5 (five) days from the publication of the changes, the Participant must communicate to FRST Falconi, by e-mail, if he does not agree with the amended terms. In this case, FRST Falconi will inform the Manager to resolve the issue, in order to prevent the Participant from being without access to the Platform.
3.1.2 If there is no manifestation within the period stipulated in Clause 3.1.1 above, it will be understood that the Participant has tacitly accepted the new Terms and Conditions, so that the Contract will continue to bind the Parties.

IV. PRODUCTION OF CONTENT BY PARTICIPANTS
4.1 After the registration of Participants by the Manager, as provided for in this instrument, an exclusive access area for the Participant will be automatically generated. Through this, the Participant must fill in the data and information necessary to carry out his assessment and develop his skills.
4.1.1 The Participant is solely responsible for the information he / she inserts in his / her access area, including, in this context, the transmission of any content in this area or in the other means of interaction that will be made available, and FRST Falconi must be held harmless from any liability or damage that may cause.
4.1.2 FRST Falconi will monitor the information and content conveyed on the Platform by its Participants, in order to guarantee its quality standards, but will not assume any responsibility, for the Participant, for the veracity, quality and / or losses caused by this information and content served by it.
4.1.3 If any content deemed inappropriate is identified, in its sole discretion, or if it is alerted by any third party about content improperly submitted on the Platform, FRST Falconi reserves the right to proceed with its removal, without the need for any prior notice to that effect, not relieving the Participant of any liability for the losses it may cause.
4.1.4 FRST Falconi may create communities on matters relevant to the Platform, bringing together other Participants with similar interests, having no responsibility for the exchange of information carried out.
4.2 The Participant hereby declares to have full knowledge and to agree that it is not allowed:
(a) to submit, on the Platform, any insults, obscene statements or any other content that may offend human dignity, that encourages or promotes any unlawful activity (including, but not limited to, terrorism, incitement to racial hatred or whose publication may constitute itself a criminal offense);
(b) to harm other Participants who use the Platform by installing computer viruses or other malicious software;
(c) to submit, on the Platform, any misleading, inconvenient, threatening content,
defamatory or tormenting;
(d) to harass other Participants for their political or religious views;
(e) to submit, on the Platform, any illegal content that may encourage criminal conduct, or that is in itself, a criminal action; and
(f) to submit, on the Platform, content that violates the intellectual property of other people or image rights.
4.3 The Participant further declares and warrants:
(i) to be the sole and exclusive responsible for the content that will be made available through the Platform, as well as for the consequences resulting from its sending or publication, responding civilly and criminally for the content in reference, FRST Falconi not having any responsibility on the same ;
(ii) be aware that the submission of (a) any material or excerpts of material protected by copyright, trade secret or third parties, including privacy, property and advertising, is strictly prohibited, without authorization from the respective author and / or the work representative; and (b) images of people without their prior authorization, under penalty of incurring the sanctions provided for in Brazilian law and in these Terms and Conditions of Use; and
(iii) the content that you insert into the Platform, regardless of the form, may be used freely by FRST Falconi, without the need for any prior authorization by the Participant, for the purposes that FRST Falconi deems relevant, such as: improving the Platform, generating new content, conducting campaigns, among others and since that the criteria established in the Data Protection and Privacy Policy are met.
V. DEADLINES FOR USE OF THE PLATFORM
5.1 During the use of the Platform, the Participant undertakes:
(i) carry out the assessment within the period established by your Manager, if available on your Development Day;
(ii) conclude your Development Day within the maximum period established;
(iii) access the contents of the module, which are made available on the Platform by FRST Falconi during the term in which they are available; and
(iv) submit the contents on the Platform, in any type of Development, always in accordance with the terms and conditions contained in the Platform and previously defined by FRST Falconi.
5.2 Specifically with respect to item (iii) above, for the Development Journeys Program of the Road of Skills Program and the Individual Competence Development Module, access to the contents of each module will be available for access by the Participant for a period of 6 (six) months from the start of the module, limited to a maximum period of 12 (twelve) months from the start of the operation.
5.3 In relation to the commitments assumed by the Participant pursuant to Clause 5.1 above, if FRST Falconi grants, on an exceptional basis, additional time for the submission of content, filling in information on the Platform or assessments (in the latter case if requested by the Manager), in any development modality, this fact will be characterized as mere liberality, all other deadlines applicable to the exercise of other rights or activities.
5.4 During the use of the Platform, the Participant undertakes to provide data and fill in any information, always in accordance with the terms and conditions indicated on the Platform and previously defined by FRST Falconi.

VI. INTELLECTUAL PROPERTY
6.1 The commercial use of the expression “FRST” as a brand, business name or domain name, as well as all content available on the Platform, including, but not limited to, brands, logos, texts, graphics, photographs, videos, audio content, screens, computer programs, databases, transmission files and other instruments that allow the Participant to access and use their account, are properties of FRST Falconi and are protected by international copyright laws and treaties, trademarks, patents, models and industrial designs. Copying, reproduction, distribution, transmission, publication, connection or any other form of misuse of said content is prohibited, except with express authorization from FRST Falconi.
6.2 The Participant declares and acknowledges that the reproduction of any content on the Platform does not give them ownership.
6.3 Any brands displayed on the Platform or any other website operated in conjunction with the Platform should not be considered as in the public domain and are the exclusive property of FRST Falconi, its partners or third party licensors, as the case may be.
6.4 The reproduction of the content available on the Platform without proper authorization, or even without the corresponding citation and reference to the Platform will constitute an infringement of FRST Falconi’s intellectual property rights, and subject the Participant to the applicable administrative, civil and criminal sanctions.
6.5 The features that make up the Platform are offered in the form of service provision, without giving Participant any rights over the software used by FRST Falconi or over its IT structures that support the Platform.
6.6 If the Participant discloses or uses any information related to the service, FRST Falconi will be exempt from any responsibility.
VII. PRIVACY OF INFORMATION
7.1 All information or personal data provided by the Participant to FRST Falconi for the use of the “FRST” brand is stored on servers or high security magnetic media.
7.2 FRST Falconi will take all possible measures to maintain the necessary confidentiality and security, but will not be held liable for damages that may be caused by the violation of these measures by third parties using public networks or the internet, subverting security systems to access Customer, Manager or Participant information.
7.2.1 FRST Falconi, when using any of the information in these Terms and Conditions of Use, will not identify the ownership of the data, maintaining the anonymity of the Participant and Client.
7.3 In case of doubts about the protection of personal data or to obtain more information about personal data and the cases in which the confidentiality referred to in this Clause may be breached, the Participant must consult the FRST Data Protection and Privacy Policy, which is an integral part of these Terms and Conditions of Use.

VIII. OBLIGATIONS OF PARTICIPANTS
8.1 Under penalty of being banned from the Platform, the Participant undertakes not to carry out any of the conduct described in Clause 6.3, as well as:
(a) not submitting content or posting ads of a racist, xenophobic, pornographic, violent or otherwise offensive nature;
(b) not submitting content that violates the intellectual property rights of others;
(c) not introducing harmful viruses or software to the system; and
(d) responding for possible violations of the provisions of these Terms and Conditions of Use and all the principles that govern it, as well as the Privacy and Data Protection Policy.
8.2 The Participant is prohibited from using the Platform for any other purpose that is not provided for in the description of the Development Day, as provided in the Preamble and Clause One of these Terms and Conditions of Use.
8.3 For security reasons, the Participant’s registration may be suspended, at the discretion of FRST Falconi, if it suspects any illegitimacy, fraud or any other act contrary to the provisions of these Terms and Conditions of Use.
8.4 Without prejudice to other measures, FRST Falconi may warn, suspend or cancel, temporarily or permanently, the Participant’s registration on the Platform, at any time, initiating the applicable legal actions and / or suspending the provision of the Service if:
(a) the Participant fails to fulfill any rights and obligations set out in these Terms and Conditions of Use;
(b) the Participant performs fraudulent or intentional acts;
(c) the identity of the Participant cannot be verified; and
(d) understand that the content conveyed on the Platform, or any attitude of the Participant, has caused damage to third parties or to FRST Falconi itself or to the Platform or has the potential to do so.
8.5 In cases of disqualification of the Participant’s registration, access to the Platform will be automatically canceled.

IX. PARTIES ‘ RESPONSIBILITIES
9.1 FRST Falconi is responsible for any damages caused to the Participant due to defects relating exclusively to the Platform, provided that FRST Falconi has given proven cause to said defects, there being no need to talk about its liability for defects or technical defects and / or operational from the Client’s system or from third parties.
9.2 FRST Falconi is not responsible for or participates, in any way, in any contractual relationship established between the Participant and third parties due to content published in FRST.
9.3 The Participant is responsible for the improper use of any functionality of the Platform, being responsible for the use of his account, observing the Brazilian legislation in force.
9.4 The Participant will be responsible for any fraud carried out by him, in a virtual or physical environment, of culpable or intentional actions or omissions, or even, resulting from the violation of any conditions established in these Terms and Conditions of Use.
9.4.1 FRST Falconi may withhold or not carry out operations if, at its discretion, it verifies the possibility of fraud or other crimes, whether virtual or physical, related to the Participant, and must communicate the same about such illegal act within 15 (fifteen) days.
9.5 The Participant will indemnify FRST Falconi, its subsidiaries, controlled or controlling companies, directors, administrators, collaborators, representatives and employees for any demand promoted by third parties arising from their activities on the Platform or for non-compliance with the Terms and Conditions of Use, and also, for breach of any law or third party rights, including attorney’s fees.

X. CONFIDENTIALITY
10.1 For the treatment of issues related to the attribution of confidentiality of these Terms and Conditions of Use, it is understood by:
(a) “Information”: the data, documents and materials that are relevant to it;
(b) “Confidential Information”: any and all information disclosed directly or indirectly, by FRST Falconi, such as business models and strategies, characteristics of products / systems (pre-existing, new and under development), information about software, information involving industrial and copyright law, information about projects, software, hardware designs, algorithms, user interface design, documentation in any format, techniques and methods, formulas, statements, contracts, presentations, reports, lists, prices, studies and market research. Confidential Information includes any and all content shared with Customer, in by virtue of the activities carried out by FRST Falconi, and all information provided (whether in written or oral form, directly or indirectly) by it, its representatives, directors, officers and employees, either before or after the date of consent with these Terms and Conditions of Use and marked, or indicated, as “Confidential” or similar, or whose recipient reasonably understands it to be Confidential Information due to its nature or the circumstances of the Development Days;
(c) “Authorized Persons”: Customer representatives and attorneys, as well as the Manager, pursuant to these Terms and Conditions of Use; and
(d) “Secrecy”: protection against unauthorized treatment of Confidential Information.
10.2 The Confidential Information disclosed must be kept secret, and must not be disclosed to third parties or used for purposes other than those defined in this instrument, without the proper authorization from FRST Falconi.
10.3 Confidential Information may be contained or transmitted by any means, including, but not limited to, written, graphic, verbal, mechanical, electronic, digital, magnetic or cryptographic.
10.4 The Participant hereby acknowledges that Confidential Information is the exclusive property of FRST Falconi, constituting its trade secret, and agrees that Confidential Information will only be used in the process of using the Platform, the Participant being expressly prohibited from using Confidential Information for any other purpose.
10.5 In case of doubt about the confidentiality of certain information, the Participant must treat it confidentially until he is authorized to treat it differently by FRST Falconi. In no way will the FRST Falconi’s silence be interpreted as releasing the commitment to keep information confidential.
10.6 The Confidential Information provided should only be disclosed to Authorized Persons, to the strict extent that such disclosure is necessary, and the Participant must inform them about the confidential nature of the Information, as well as making these persons treat such Information as confidential, as provided in these Terms and Conditions of Use.
10.7 The Participant agrees not to reveal the clauses and conditions of these Terms and Conditions of Use, as well as the object of this instrument or any of its elements, without the prior written consent of FRST Falconi, except to its lawyers, auditors and accountants.
10.8 The Participant, without prejudice to the other obligations provided for in these Terms and Conditions of Use, undertakes to communicate to FRST Falconi in advance, in the event of a request for disclosure of Confidential Information due to compliance with the law, court order or competent inspection body activities involved by any of the Parties, being, in any of the cases, disclosed only within the limits strictly required for its disclosure.
10.9 Only exceptions to the obligation of secrecy will be legitimate, the occurrence of disclosure, in the cases in which the Information:
(a) is in the public domain prior to its disclosure to the Participant, by legitimate sources other than FRST Falconi;
(b) it is already known by the Participant at the time it is disclosed to him, by legitimate sources other than FRST Falconi;
(c) become publicly available to third parties after disclosure to the Participant, without such fact having occurred through fault or intent thereof;
(d) has been proven, legally and legitimately, by another source that does not have, directly or indirectly, an obligation of confidentiality with the Participant;
(e) whose disclosure to third parties (other than Authorized Persons) is previously and expressly authorized in writing by FRST Falconi; and
(f) is requested through a court order by a competent governmental authority, in which case the Participant must notify FRST Falconi and its representatives of the request in advance, in addition to using commercially reasonable efforts to limit the extent of such openness.
10.10 The Client acknowledges that the breach of any of the confidentiality obligations mentioned in this Clause makes it subject to a fine on the amount of 50% (fifty percent) of the value of the contract between the Parties, in favor of FRST Falconi, in addition to the application of the applicable civil and criminal penalties, under the terms of the law, also committing itself to exempt and / or indemnify FRST Falconi from any and all damages, losses or liability that may be attributed or suffered by FRST Falconi.

XI. GENERAL PROVISIONS
11.1 The FRST Privacy and Data Protection Policy is an integral and inseparable part of these Terms and Conditions of Use, which can be consulted on the Platform’s own homepage and is available on the website www.frstfalconi.com.
11.2 The Participant declares that he is aware that the completion of any module or trail on the Platform does not guarantee the absorption of the knowledge dealt with there, and it is certain that the knowledge obtained with the service will depend directly on his individual engagement.
11.3 These Terms and Conditions of Use do not generate any partnership, mandate, franchise or employment relationship between FRST Falconi and Participant.
11.4 FRST Falconi is not responsible for any damage or loss suffered by the Participant due to failures on the internet, in the system or in the server resulting from third party conduct, unforeseeable circumstances or force majeure. FRST Falconi will also not be responsible for any virus that could attack the Participant’s equipment as a result of accessing, using or browsing the Internet or as a result of the transfer of data, files, images, text or audio.
11.5 The failure or tolerance of FRST Falconi to demand strict compliance with these Terms and Conditions of Use will not constitute novation or waiver, nor will it affect its rights, which may be exercised at any time.
11.6 All items in these Terms and Conditions of Use are governed by the laws in force in the Federative Republic of Brazil. For all matters relating to interpretation, compliance or any other question related to these Terms and Conditions of Use, the Parties agree to submit to the Central Forum of the District of São Paulo.

ANNEX I
DETAILING DEVELOPMENT DAYS
By this instrument, and in accordance with Clause 1.1. of the Terms and Conditions of Use, the professional development and training service offered on the Platform can be carried out through 3 (three) different modalities of Development Days, described below. For each modality, there is a distinct operation flow, detailed in Annex II.

(A) ROAD OF SKILLS PROGRAM
The Road of Skills Program comprises three important steps: (i) initial assessment to identify competency gaps; (ii) the learning path, composed of 3 (three) content modules, which encompass all the tools of engagement and interaction for the development of the specific competences of each Participant and the seal of completion; and (iii) final assessment to identify the evolution in the development of their skills, in order to enable the next journey within the concept of lifelong learning.
1. The initial assessment stage consists of the assessment of the main socio-emotional characteristics and competences of each Participant, being carried out immediately after the participant’s registration on the Platform.
2. In order to map the socio-emotional characteristics and identify the skills gaps, the Participant needs to prepare an essay and / or answer various questions until it generates a content that presents between 600 (six hundred) and 1,200 (thousand and two hundred) words, at most. Based on this content, FRST, through an artificial intelligence system, will carry out an analysis of the Participant’s socio-emotional profile and opportunities for developing his skills.
3. After the completion of 80% (eighty percent) of the initial assessment by the Participants, the Manager will be able to define the Service path.
3.1. The Manager may choose to define an individualized trail for each employee or define a standard trail for all employees.
3.2. The performance of the Manager in this phase, however, is restricted to the choice of the trail that will be offered to each Participant, and he cannot make any changes to the content of the assessment report.
4. Each trail lasts 4 (four) months and consists of 3 (three) modules lasting 5 (five) weeks each. The modules are aimed at developing one or more of the Participants’ skills.
5. Each module consists of stages of theoretical and practical learning, with the submission of 1 (one) real project of practical application.
5.1. The theoretical learning stage includes: (i) module menu, (ii) 1 (one) masterclass, (iii) Problem Based Learning – PBL, learning methodology based on real problem solving, (iv) video lessons, (v) interactive whitepaper (dynamic reading material to deepen the content), (vi) quizzes to assess the evolution of knowledge throughout the module, (vii) study of pre-formatted cases, and (viii) podcast with study responses accomplished; as well as interaction tools: (a) comments and notes in video classes; (b) question and answer forum; and (iii) weekly feedback sessions.
5.1.1. Weekly feedback sessions will take place through lives with specialists of FRST Falconi carried out on a day and time predetermined by FRST Falconi, with the participation of all classes that start the same module and are therefore not restricted to the participation of Customer Participants. The sessions will also be recorded and will be available for consultation by the Participants throughout the execution of the respective module.
5.2. The practical learning stage consists of the elaboration of 1 (one) project to be applied in a real case and the submission of the respective project on the Platform to: (i) allow collaboration in the peer-to-peer modality, where each Participant makes contributions in the another Participant’s project; and (ii) that can be presented in a live project discussion session with a Platform specialist.
5.2.1. The project discussion session will take place on a day and time predetermined by FRST Falconi, and will be restricted to Client Participants.
5.2.2. Collaboration in the analysis of the project between Participants will take place anonymously and will be mandatory for 1 (one) project defined at random, with the Participant being able to choose to analyze more than one project. This peer-to-peer collaboration will also be restricted to Client Participants.
5.2.3. The actual projects to be presented by the Participant in the discussion session of the project will be selected from: (i) free choice of the Participant and / or (ii) expert assessment by FRST Falconi, based on compliance with the practical application of the content in the construction of the actual project available within each module.
5.2.4. The projects submitted on the Platform can also be presented at webinar with the participation of an expert from the Platform and members of the leadership of the Client.
5.3. Throughout the learning stages, the Manager will have access to reports on the evolution of the team that is in the development process, being able to monitor the engagement and performance of employees in the program.

5.4. Upon completing 1 (one) module, consuming the content of the theoretical learning objects and submitting the actual project on the Platform, the Participant receives 1 (one) Module Completion Seal and, at the end of the completion of the 3 (three) modules assigned to him on the Road of Skills Program, the Participant receives 1 (one) Trail Completion Badge.
5.4.1. Upon receiving the Trail Completion Badge, the Participant will be entitled to request FRST Certification for modules completed after submission of real project with effective results, ratified by the Client’s leadership and evaluation by FRST Falconi specialists. In addition, the Participant may return to the Platform as a mentor after achieving the FRST Certification.
6. After completing the learning path, the Participant will be able to take a new assessment to obtain an indication of the next steps of his development journey.
7. The contents related to each module will be available to the Participant for a period of 6 (six) months from the date that the module starts, this period being limited to 12 (twelve) months from the beginning of the Road of Skills Program operation.
(B) SPECIFIC MODULE FOR DEVELOPING SKILLS
The Individual Skills Development Module is composed only of the theoretical and practical learning stages of 1 (one) module lasting 5 (five) weeks and the same composition described in Clauses 5.1 and 5.2 of modality (a) of this Annex, with the respective receipt of the Module Completion Seal at the end, respecting the consumption of theoretical learning objects and submission of the real project to the Platform by the Participant.
(C) SPECIAL FALCONI SOLUTIONS MODULE
The Single Module of Falconi Solutions consists of 1 (one) theoretical learning module consisting of (i) the module’s menu, (ii) video lessons, (iii) complementary reading material to deepen the content, (iv) quizzes to evaluate the evolution of knowledge throughout the module, (v) study of pre-formatted cases, and (vi) e-book defined based on the content of the module.
1. The module will be available for access for 2 (two) months, so that it will not be possible to access any available content, produced or inserted during its execution under the FRST after this period.
2. Upon completing the module, consuming the content of the theoretical learning objects, the Participant will be entitled to receive 1 (one) Module Completion Seal.
3. During the theoretical learning steps mentioned above, the Manager will have access to reports on the evolution of the Participants, being able to monitor their engagement in the program; and after the completion of the module by the Participants, the Manager may have access to the engagement results of each Participant.

ANNEX II
OPERATING FLOWS
Under this instrument, and as provided in Annex I to the Terms and Conditions of Use, each type of Development Day offered on the Platform has different operating flows, detailed below.
(A) ROAD OF SKILLS PROGRAM
1. For the Road of Skills Program format, after confirming the purchase, FRST Falconi has a maximum period of 3 (three) business days to allow the Manager’s access to the Platform.
2. From the first access, the Manager must register the Participants on the Platform, according to the number of licenses acquired, observing the rules below:
(i) the Manager must have registered 100% (one hundred percent) of the licenses acquired to start the Client’s first operation flow; and
(ii) the Manager must register and enroll all Participants in the intended learning path within a period of 3 (three) months, counting from the release of the Manager’s access. After the expiry of this period, the licenses will expire; and
3. The Manager must define the deadline for the Participants to carry out the initial assessment and release them so that they can carry out the assessment in the form detailed in the form of these Terms and Conditions of Use. After completing the assessment, the Client cannot substitute his Participant’s license for another employee.
3.1. The Manager must also determine the start date of the learning path among options pre-defined by FRST Falconi, so that the Participants’ enrollments are effective.
3.2. As indicated in these Terms and Conditions of Use, the Manager will be able to define the Participants’ trail after the completion of 80% (eighty percent) of the assessments. However, if this percentage is not reached by the date established by the Manager, only 1 (one) extension of the deadline for its completion will be allowed.
3.3. Within 5 (five) working days from the date of completion of the learning trail by the Participants, the Manager may release the performance of a new assessment, and may not exceed the deadline of 1 (one) month from the date release.
(B) SPECIFIC COMPETENCE DEVELOPMENT MODULE
1. For the Single Competence Module format, after confirmation of purchase, FRST Falconi has a maximum period of 5 (five) working days to allow Participant access to FRST.
2. The provisions of Clause 3 referring to the Road of Skills Program apply, as applicable, with activities and deadlines limited to the module acquired and with changes in the interactions of feedback sessions and discussion of the project will not be restricted to Customer Participants.
(C) SPECIAL FALCONI SOLUTIONS MODULE
1. For the Falconi Single Module format, after confirmation of purchase, FRST Falconi has a maximum period of 5 (five) working days to allow the Manager’s access to FRST.
2. From the first access, the Manager must register the Participants in the FRST, according to the number of licenses acquired, as per these Terms and Conditions of Use, noting that:
(i) the Manager must have registered 100% (one hundred percent) of the licenses acquired to start the Client’s first operation flow; and
(ii) the Manager must register and enroll all Participants in the intended module within a period of 3 (three) months, counting from the release of their access. After the expiry of this period, the licenses will expire.
3. The Manager must also determine the start date of the module among pre-defined options by FRST Falconi, so that the enrollments of the Participants are effective.

Pelos presentes Termos e Condições de Uso, de um lado, FRST – Falconi Road of Skills and Talents
Treinamento e Desenvolvimento de Pessoas Ltda.
, empresa limitada, com sede na Cidade e Estado de
São Paulo, na Av. Presidente Juscelino Kubitschek, nº 1.327, 17º andar, Itaim Bibi, inscrita no CNPJ/MF
sob o nº 34.639.121/0001-08 (“FRST Falconi”) e, de outro lado, Participante, pessoa natural cadastrada
pelo Gestor na Jornada de Desenvolvimento contratada pelo Cliente, têm entre si certo e ajustado o
presente, cujo teor mutuamente aceitam, outorgam e obrigam-se fielmente a cumprir e respeitar, por
si e seus sucessores.

Os Termos e Condições de Uso aplicam-se ao uso dos serviços oferecidos pela FRST Falconi em sua
plataforma digital denominada FRST – Falconi Road of Skills and Talents (“FRST” ou “Plataforma”) que
tem por objetivo promover desenvolvimento e capacitação profissional de excelência, de forma
inteligente, individualizada, prática, interativa, através da qual cada Participante poderá desenvolver
suas próprias competências.

O Participante ao ser incluído na FRST deverá ler e aceitar este instrumento, bem como anuir à Política
de Privacidade e Proteção de Dados.

A ACEITAÇÃO DESTES TERMOS E CONDIÇÕES DE USO É ABSOLUTAMENTE INDISPENSÁVEL À
UTILIZAÇÃO DA FRST.

A FRST FALCONI PODERÁ ALTERAR ESTES TERMOS E CONDIÇÕES DE USO, A QUALQUER TEMPO,
DEVENDO ENVIAR UM COMUNICADO PARA O CLIENTE E PARA O PARTICIPANTE.

 

I. OBJETO

1.1. O objeto destes Termos e Condições de Uso consiste em estabelecer as regras para que o
Participante possa acessar e realizar a modalidade de Jornada de Desenvolvimento contratada pelo
Cliente, podendo ser: (i) Programa Road of Skills; (ii) Módulo Avulso de Desenvolvimento de
Competências; e (iii) Módulo Avulso de Soluções Falconi, devidamente detalhadas no Anexo I (“Jornada
de Desenvolvimento”).

1.1.1. A modalidade de Jornada de Desenvolvimento é escolhida pelo Cliente no momento da
contratação da Plataforma para desenvolvimento dos Participantes.

1.2. A Plataforma está hospedada em website na internet, acessível através do link
www.master.frstfalconi.com, cujo nome de domínio está sob a titularidade e administração da FRST
Falconi, e oferece uma solução educacional online e interativa, com conteúdo de excelência e aplicação
prática para o desenvolvimento profissional de forma personalizada nas competências associadas às
necessidades de cada indivíduo ao longo de sua carreira.

 

II. CADASTRO E ACESSO A PLATAFORMA

2.1. Os cadastros dos Participantes, que realizarão a Jornada de Desenvolvimento na Plataforma.
serão realizados pelo Gestor, informando os seguintes dados: (i) nome e sobrenome, (ii) número de
inscrição no Cadastro de Pessoas Físicas – CPF, (iii) e-mail corporativo, (iv) telefone de contato, (v) cargo
e (vi) área em que atua.

2.1. Respeitados os critérios indicados neste Termos e Condições de Uso, o Participante terá apenas 1
(um) cadastro na Plataforma. A FRST Falconi se reserva o direito de inabilitar todos os cadastros
realizados em duplicidade, se houver.

2.2. No que diz respeito ao acesso à Plataforma pelo Participante, este será o único responsável pelas
operações efetuadas em sua conta, mediante a aposição de senha que é de seu conhecimento
exclusivo. Nesse sentido, o Participante reconhece que:

(a) desde o primeiro acesso, estará concordando com os presentes Termos e Condições de Uso
do Participante e a Política de Privacidade e Proteção de Dados;

(b) acessará sua conta através de login e senha individuais; e se compromete a não informar
esses dados a terceiros, responsabilizando-se integralmente pelo uso que deles seja feito; e

(c) deverá notificar à FRST Falconi imediatamente, e através de meio seguro, sobre qualquer
uso ou acesso não autorizado de sua conta.

2.3. Em nenhuma hipótese será permitida a cessão, venda, aluguel ou outra forma de transferência
da conta por qualquer Participante.

2.4. A FRST Falconi se reserva o direito de recusar qualquer solicitação de cadastro na Plataforma e de
cancelar qualquer cadastro previamente aceito, desde que em desacordo com as políticas e regras dos
presentes Termos e Condições de Uso.

 

III. MODIFICAÇÕES DOS TERMOS E CONDIÇÕES DE USO

3.1. A FRST Falconi poderá, a qualquer tempo, alterar estes Termos e Condições de Uso, tendo em
vista o aprimoramento e melhorias na Plataforma. Nesse caso, deverá comunicar a referida alteração ao
Participante por e-mail e através de mensagem na área restrita da Plataforma, estando pactuado entre
as Partes que os novos Termos e Condições de Uso entrarão em vigor 15 (quinze) dias após o envio da
comunicação ao Participante.

3.1.1 No prazo de 5 (cinco) dias contados da divulgação das modificações, o Participante
deverá comunicar à FRST Falconi, por e-mail, caso não concorde com os termos alterados. Nesse
caso, a FRST Falconi comunicará ao Gestor para que resolva a questão, de forma a evitar que o
Participante fique sem acesso a Plataforma.

3.1.2 Não havendo manifestação no prazo estipulado na Cláusula 3.1.1 acima, entender-se-á
que o Participante aceitou tacitamente os novos Termos e Condições, de modo que o Contrato
continuará vinculando as Partes.

 

IV. PRODUÇÃO DE CONTEÚDO PELOS PARTICIPANTES

4.1 Após a realização do cadastro dos Participantes pelo Gestor, na forma prevista neste
instrumento, será gerada automaticamente uma área exclusiva de acesso para o Participante. Através
desta, o Participante deverá preencher os dados e informações necessárias para realizar sua avaliação
(assessment) e desenvolver suas competências.

4.1.1 O Participante é o único responsável pelas informações que inserir na sua área de acesso,
incluindo, neste contexto, a veiculação de qualquer conteúdo nesta área ou nos outros meios de
interação que serão disponibilizados, devendo manter a FRST Falconi indene de qualquer
responsabilidade ou prejuízo que vier a dar causa.

4.1.2 A FRST Falconi monitorará as informações e os conteúdos veiculados na Plataforma por
seus Participantes, de forma a garantir os seus padrões de qualidade, mas não assumirá qualquer
responsabilidade, pelo Participante, pela veracidade, qualidade e/ou prejuízos causados por estas
informações e conteúdos veiculados por este.

4.1.3 Caso seja identificado qualquer conteúdo considerado impróprio, a seu exclusivo critério,
ou caso seja alertada por qualquer terceiro acerca de conteúdo submetido indevidamente na
Plataforma, a FRST Falconi reserva-se o direito de proceder com sua remoção, sem que seja
necessário qualquer aviso prévio nesse sentido, não eximindo o Participante de eventual
responsabilidade pelos prejuízos que vier a causar.

4.1.4 A FRST Falconi poderá criar comunidades sobre assuntos pertinentes à Plataforma,
reunindo outros Participantes com interesses afins, não tendo qualquer responsabilidade pela
troca de informações realizadas.

4.2 O Participante declara, neste ato, possuir pleno conhecimento e concordar que não é permitido:

(a) submeter, na Plataforma, quaisquer insultos, afirmações obscenas ou qualquer outro
conteúdo que possa ofender a dignidade humana, que estimule ou promova qualquer atividade
ilícita (incluindo, mas nãos e limitando a terrorismo, incitação ao ódio racial ou cuja publicação
possa constituir em si mesma uma infração penal);

(b) prejudicar outros Participantes que utilizam a Plataforma instalando vírus informáticos ou
outros softwares maliciosos;

(c) submeter, na Plataforma, qualquer conteúdo enganoso, inconveniente, ameaçador,
difamatório ou atormentador;

(d) perseguir outros Participantes por seus pontos de vista políticos ou religiosos;

(e) submeter, na Plataforma, qualquer conteúdo ilegal que possa fomentar conduta criminosa,
ou que seja em si, uma ação criminosa; e

(f) submeter, na Plataforma, conteúdos que violem a propriedade intelectual de outras pessoas
ou direitos de imagem.

4.3 O Participante declara e garante, ainda:

(i) ser o único e exclusivo responsável pelo conteúdo que venha a disponibilizar por meio da
Plataforma, bem como pelas consequências decorrentes de seu envio ou publicação,
respondendo civil e criminalmente pelo conteúdo em referência, não tendo a FRST Falconi
qualquer responsabilidade sobre o mesmo;

(ii) ter conhecimento de que é terminantemente proibida a submissão de (a) qualquer material
ou trechos de material protegido por direitos autorais, segredo de negócio ou de terceiros,
inclusive de privacidade, propriedade e publicidade, sem autorização do respectivo autor e/ou do
representante da obra; e (b) imagens de pessoas sem prévia autorização das mesmas, sob pena
de incorrer nas sanções previstas na legislação brasileira e nestes Termos e Condições de Uso; e

(iii) os conteúdos que vier a inserir na Plataforma, independente da forma, poderão ser
utilizados livremente pela FRST Falconi, sem necessidade de qualquer autorização prévia por
parte do Participante, para os fins que a FRST Falconi vier a julgar pertinente, como por exemplo:
aprimoramento da Plataforma, geração de novos conteúdos, realização de campanhas, dentre
outros e desde que sejam atendidos os critérios estabelecidos na Política de Privacidade e
Proteção de Dados.

 

V. PRAZOS PARA UTILIZAÇÃO DA PLATAFORMA

5.1 Durante a utilização da Plataforma, o Participante se obriga:

(i) realizar o assessment dentro do prazo estabelecido pelo seu Gestor, se disponibilizado em
sua Jornada de Desenvolvimento;

(ii) concluir a sua Jornada de Desenvolvimento dentro do prazo máximo estabelecido;

(iii) acessar os conteúdos ao módulo, que são disponibilizados na Plataforma pela FRST Falconi
durante o prazo em que estiverem disponíveis; e

(iv) submeter os conteúdos na Plataforma, em qualquer modalidade de Jornada de
Desenvolvimento, sempre de acordo com os prazos e condições constantes da Plataforma e
previamente definidos pela FRST Falconi.

5.2 Especificamente no que tange ao item (iii) acima, para as modalidade de Jornadas de
Desenvolvimento Programa Road of Skills e Módulo Avulso de Desenvolvimento de Competência, o
acesso aos conteúdos de cada módulo ficará disponível para acesso do Participante por um prazo de 6
(seis) meses a contar do início do módulo, limitado ao prazo máximo de 12 (doze) meses a contar do
início da operação.

5.3 Em relação aos compromissos assumidos pelo Participante na forma da Cláusula 5.1 acima, caso
a FRST Falconi conceda, em caráter excepcional, prazo adicional para a submissão de conteúdo,
preenchimento de informações na Plataforma ou assessments (neste último caso se solicitado pelo
Gestor), em qualquer modalidade de desenvolvimento, tal fato será caracterizado como mera
liberalidade, permanecendo inalterados todos os demais prazos aplicáveis ao exercício de outros
direitos ou atividades.

5.4 Durante a utilização da Plataforma, o Participante se obriga a fornecer dados e preencher
eventuais informações, sempre de acordo com os prazos e condições indicados na Plataforma e
previamente definidos pela FRST Falconi.

 

VI. PROPRIEDADE INTELECTUAL

6.1 O uso comercial da expressão “FRST” como marca, nome empresarial ou nome de domínio, bem
como todo conteúdo disponível na Plataforma, incluindo, mas não se limitando a marcas, logotipos,
textos, gráficos, fotografias, vídeos, conteúdo de áudio, telas, programas de computador, bancos de
dados, arquivos de transmissão e demais instrumentos que permitem que o Participante acesse e use
sua conta, são propriedades da FRST Falconi e estão protegidos pelas leis e tratados internacionais de
direito autoral, marcas, patentes, modelos e desenhos industriais. A cópia, reprodução, distribuição,
transmissão, publicação, conexão ou qualquer outra forma de uso indevido dos referidos conteúdos é
proibida, salvo com autorização expressa da FRST Falconi.

6.2 O Participante declara e reconhece que a reprodução de qualquer conteúdo da Plataforma não
lhes confere sua titularidade.

6.3 Quaisquer marcas exibidas na Plataforma ou qualquer outro site operado em conjunto com a
Plataforma não devem ser consideradas como de domínio público e são de titularidade exclusiva da
FRST Falconi, de seus parceiros ou de terceiros licenciantes, conforme o caso.

6.4 A reprodução do conteúdo disponível na Plataforma sem a devida autorização, ou ainda sem a
correspondente citação e referência à Plataforma constituirá infração aos direitos de propriedade
intelectual da FRST Falconi, e sujeitará o Participante às sanções administrativas, civis e criminais
cabíveis.

6.5 As funcionalidades que compõem a Plataforma são oferecidas na forma de prestação de serviço,
não conferindo Participante nenhum direito sobre o software utilizado pela FRST Falconi ou sobre suas
estruturas de informática que sustentam a Plataforma.

6.6 Caso o Participante divulgue ou utilize qualquer informação relacionada ao serviço, a FRST Falconi
estará isenta de qualquer responsabilidade.

 

VII. PRIVACIDADE DA INFORMAÇÃO

7.1 Toda informação ou dado pessoal prestado pelo Participante à FRST Falconi para utilização da
marca “FRST” é armazenada em servidores ou meios magnéticos de alta segurança.

7.2 A FRST Falconi tomará todas as medidas possíveis para manter a confidencialidade e a segurança
necessárias, porém não responderá por prejuízo que possa ser derivado da violação dessas medidas por
parte de terceiros que utilizem as redes públicas ou a internet, subvertendo os sistemas de segurança
para acessar as informações do Cliente, do Gestor ou dos Participantes.

7.2.1 A FRST Falconi, ao se utilizar de qualquer das informações destes Termos e Condições de
Uso, não identificará a titularidade dos dados, mantendo o anonimato do Participante e Cliente.

7.3 Em caso de dúvidas sobre a proteção a dados pessoais ou para obter maiores informações sobre
dados pessoais e os casos nos quais poderá ser quebrado o sigilo de que trata esta Cláusula, o
Participante deverá consultar a Política de Privacidade e Proteção de Dados da FRST, que é parte
integrante destes Termos e Condições de Uso.

 

VIII. OBRIGAÇÕES DOS PARTICIPANTES

8.1 Sob pena de ser banido da Plataforma, o Participante se compromete a não realizar nenhuma
das condutas descritas na Cláusula 6.3, bem como:

(a) não submeter conteúdo ou publicar anúncios de cunho racista, xenófobo, pornográfico,
violento ou de qualquer forma ofensivo;

(b) não submeter conteúdo que viole os direitos de propriedade intelectual de terceiros;

(c) não introduzir vírus ou softwares nocivos ao sistema; e

(d) responder por eventuais violações as disposições destes Termos e Condições de Uso e todos
os princípios que o regem, bem como à Política de Privacidade e Proteção de Dados.

8.2 É vedado ao Participante se utilizar da Plataforma para qualquer outra finalidade que não esteja
prevista na descrição da Jornada de Desenvolvimento, conforme disposto no Preâmbulo e na Cláusula
Primeira destes Termos e Condições de Uso.

8.3 Por razões de segurança, o cadastro do Participante poderá ser suspenso, a critério da FRST
Falconi, caso esta suspeite de qualquer ilegitimidade, fraude ou qualquer outro ato contrário às
disposições dos presentes Termos e Condições de Uso.

8.4 Sem prejuízo de outras medidas, a FRST Falconi poderá advertir, suspender ou cancelar,
temporária ou definitivamente, o cadastro do Participante na Plataforma, a qualquer tempo, iniciando
as ações legais cabíveis e/ou suspendendo a prestação do Serviço se:

(a) o Participante não cumprir quaisquer direitos e obrigações previstos nestes Termos e
Condições de Uso;

(b) o Participante praticar atos fraudulentos ou dolosos;

(c) não puder ser verificada a identidade do Participante; e

(d) entender que o conteúdo veiculado na Plataforma, ou qualquer atitude do Participante,
tenha causado algum dano a terceiros ou à própria FRST Falconi ou à Plataforma ou tenha a
potencialidade de assim o fazer.

8.5 Nos casos de inabilitação do cadastro do Participante, o acesso à Plataforma será
automaticamente cancelado.

 

IX. RESPONSABILIDADES DAS PARTES

9.1 A FRST Falconi se responsabiliza por eventuais danos causados ao Participante por defeitos ou
vícios relativos exclusivamente à Plataforma, desde que a FRST Falconi tenha dado causa comprovada
aos referidos defeitos ou vícios, não havendo que se falar de sua responsabilização por vícios ou
defeitos técnicos e/ou operacionais oriundos do sistema do Cliente ou de terceiros.

9.2 A FRST Falconi não se responsabiliza ou participa, de qualquer forma, de eventual relação
contratual estabelecida entre o Participante e terceiros por força de conteúdo veiculado na FRST.

9.3 O Participante responde pelo uso indevido de qualquer funcionalidade da Plataforma, sendo
responsável pelo uso de sua conta, observando a legislação brasileira em vigor.

9.4 O Participante responderá por qualquer fraude realizada por si, em meio virtual ou físico, de
ações ou omissões culposas ou dolosas, ou ainda, decorrentes da violação de quaisquer condições
estabelecidas nestes Termos e Condições de Uso.

9.4.1 A FRST Falconi poderá reter ou não concretizar operações caso, a seu critério, verifique
a possibilidade de estarem sendo cometidas fraudes, ou outros crimes, em meio virtual ou
físico, relacionados ao Participante, devendo comunicar os mesmos sobre tal ato ilícito no prazo
de 15 (quinze) dias.

9.5 O Participante indenizará a FRST Falconi, suas filiais, empresas controladas ou controladoras,
diretores, administradores, colaboradores, representantes e empregados por qualquer demanda
promovida por terceiros decorrentes de suas atividades na Plataforma ou por descumprimento dos
Termos e Condições de Uso, e ainda, pela violação de qualquer lei ou direitos de terceiros, incluindo
honorários de advogados.

 

X. CONFIDENCIALIDADE

10.1 Para o tratamento de questões relacionadas à atribuição de confidencialidade destes Termos e
Condições de Uso, entende-se por:

(a) “Informações”: os dados, os documentos e os materiais que lhe sejam pertinentes;

(b) “Informações Confidenciais”: todas e quaisquer informações reveladas direta ou
indiretamente, pela FRST Falconi, tais como modelos e estratégias de negócio, características de
produtos/sistemas (pré-existentes, novos e em desenvolvimento), informações sobre softwares,
informações envolvendo direito e propriedade industrial ou direito autoral, informações sobre
projetos, ferramentas de software, designs de hardware, algoritmos, design de interface de
usuário, documentação em qualquer formato, técnicas e métodos, fórmulas, demonstrações,
contratos, apresentações, relatórios, listas, preços, estudos e pesquisas de mercado. As
Informações Confidenciais incluem todo e qualquer conteúdo compartilhado com o Cliente, em
virtude das atividades exercidas pela FRST Falconi, e todas as informações fornecidas (seja de
forma escrita ou oral, direta ou indiretamente) por esta, seus representantes, conselheiros,
diretores e empregados, sejam antes ou depois da data de anuência com estes Termos e
Condições de Uso e marcadas, ou indicadas, como “Confidencial” ou similar, ou cujo destinatário
entenda, de forma razoável, serem Informações Confidenciais devido à sua natureza ou às
circunstâncias das Jornadas de Desenvolvimento;

(c) “Pessoas Autorizadas”: representantes e procuradores do Cliente, bem como o Gestor, nos
termos destes Termos e Condições de Uso; e

(d) “Sigilo”: proteção contra o tratamento não autorizado de Informações Confidenciais.

10.2 As Informações Confidenciais reveladas deverão ser guardadas em segredo, não devendo ser
reveladas a terceiros ou utilizadas para fins diversos daqueles definidos neste instrumento, sem a
devida autorização da FRST Falconi.

10.3 As Informações Confidenciais poderão estar contidas ou serem transmitidas por quaisquer meios,
incluindo, entre outros, as formas escrita, gráfica, verbal, mecânica, eletrônica, digital, magnética ou
criptográfica.

10.4 O Participante, pelo presente, reconhece que as Informações Confidenciais são de propriedade
exclusiva da FRST Falconi, constituindo segredo comercial desta, e concorda que as Informações
Confidenciais serão utilizadas somente no processo de utilização da Plataforma, sendo expressamente
vedado ao Participante utilizar as Informações Confidenciais para qualquer outro fim.

10.5 Em caso de dúvida acerca da confidencialidade de determinada informação, o Participante
deverá tratar a mesma sob sigilo até que venha a ser autorizada a tratá-la diferentemente pela FRST
Falconi. De forma alguma se interpretará o silêncio da FRST Falconi como liberação do compromisso de
manter o sigilo da informação.

10.6 As Informações Confidenciais fornecidas só deverão ser divulgadas às Pessoas Autorizadas, na
estrita medida em que se fizer necessária tal divulgação, devendo o Participante informar as mesmas
sobre a natureza confidencial das Informações, bem como a fazer com que essas pessoas tratem
referidas Informações como confidenciais, na forma disposta nestes Termos e Condições de Uso.

10.7 O Participante concorda em não revelar as cláusulas e condições destes Termos e Condições de
Uso, bem como o objeto do presente instrumento ou qualquer de seus elementos, sem o prévio
consentimento escrito da FRST Falconi, exceto a seus advogados, auditores e contadores.

10.8 O Participante, sem prejuízo das demais obrigações previstas nestes Termos e Condições de Uso,
compromete-se a comunicar previamente à FRST Falconi, na hipótese de solicitação de divulgação das
Informações Confidenciais em razão do cumprimento de lei, determinação judicial ou de órgão
competente fiscalizador das atividades envolvidas por qualquer das Partes, sendo, em qualquer dos
casos, divulgadas somente nos limites estritamente requeridos para a sua divulgação.

10.9 Só serão legítimos motivos de exceção à obrigatoriedade de sigilo, a ocorrência de divulgação,
nas hipóteses em que a Informação:

(a) for de domínio público anteriormente à sua divulgação ao Participante, por fontes legítimas
diversas da FRST Falconi;

(b) já for de conhecimento do Participante no momento em que seja divulgada ao mesmo, por
fontes legítimas diversas da FRST Falconi;

(c) se tornar publicamente disponível para terceiros após a divulgação para o Participante, sem
que tal fato tenha ocorrido por culpa ou dolo da mesma;

(d) tenha sido comprovadamente obtida, de forma legal e legítima, por outra fonte que não
tenha, direta ou indiretamente, obrigação de sigilo com o Participante;

(e) cuja revelação para terceiros (que não as Pessoas Autorizadas) seja prévia e expressamente
autorizada por escrito pela FRST Falconi; e

(f) for requisitada através de ordem judicial por uma autoridade governamental competente,
sendo, neste caso, necessário que o Participante notifique com antecedência a FRST Falconi e
seus representantes do pedido, além de utilizar esforços comercialmente razoáveis para limitar a
extensão de tal abertura.

10.10 O Cliente reconhece que a violação de qualquer das obrigações de confidencialidade
mencionadas nesta Cláusula a torna sujeita à aplicação de multa no importe de 50% (cinquenta por
cento) do valor do contrato entre as Partes, em favor da FRST Falconi, além da aplicação das
penalidades cíveis e criminais cabíveis, nos termos da lei, obrigando-se, ainda, a isentar e/ou indenizar a
FRST Falconi de todo e qualquer dano, perda, prejuízo ou responsabilidade que venha a ser imputado
ou sofrido pela FRST Falconi.

 

XI. DISPOSIÇÕES GERAIS

11.1 É parte integrante e inseparável destes Termos e Condições de Uso a Política de Privacidade e
Proteção de Dados da FRST, que pode ser consultada na própria página inicial da Plataforma e está
disponível no site www.frstfalconi.com.

11.2 O Participante se declara ciente de que a conclusão de qualquer módulo ou trilha da Plataforma
não constitui garantia de absorção do conhecimento ali tratado, sendo certo que o conhecimento
obtido com o serviço dependerá diretamente do seu engajamento individual.

11.3 Estes Termos e Condições de Uso não geram nenhum contrato de sociedade, de mandato,
franquia ou relação de trabalho entre a FRST Falconi e Participante.

11.4 A FRST Falconi não se responsabiliza por qualquer dano, prejuízo ou perda sofrida pelo
Participante em razão de falhas na internet, no sistema ou no servidor decorrente de condutas de
terceiros, caso fortuito ou força maior. A FRST Falconi também não será responsável por qualquer vírus
que possa atacar o equipamento do Participante em decorrência do acesso, utilização ou navegação na
internet ou como consequência da transferência de dados, arquivos, imagens, textos ou áudio.

11.5 A omissão ou tolerância da FRST Falconi em exigir o estrito cumprimento destes Termos e
Condições de Uso não constituirá novação ou renúncia, nem afetará os seus direitos, que poderão ser
exercidos a qualquer tempo.

11.6 Todos os itens destes Termos e Condições de Uso são regidos pelas leis vigentes na República
Federativa do Brasil. Para todos os assuntos referentes à interpretação, ao cumprimento ou qualquer
outro questionamento relacionado a estes Termos e Condições de Uso, as Partes concordam em se
submeter ao Foro Central da Comarca de São Paulo.

 

ANEXO I

DETALHAMENTO DAS JORNADAS DE DESENVOLVIMENTO

Pelo presente instrumento, e conforme Cláusula 1.1. dos Termos
e Condições de Uso, o serviço de desenvolvimento e capacitação profissional oferecido na Plataforma
pode ser realizado por meio de 3 (três) modalidades distintas de Jornadas de Desenvolvimento,
descritas abaixo.
Para cada modalidade, há um fluxo de operação distinto, detalhado no Anexo II.

 

(A) PROGRAMA ROAD OF SKILLS

O Programa Road of Skills compreende três etapas importantes: (i) assessment inicial para identificação
das lacunas de competências; (ii) trilha de aprendizado, composta de 3 (três) módulos de conteúdo, que
englobam todas as ferramentas de engajamento e interação para o desenvolvimento das competências
específicas de cada Participante e o selo de conclusão; e (iii) assessment final para identificar a evolução
no desenvolvimento de suas competências, de modo a possibilitar a próxima jornada dentro do
conceito de lifelong learning (ou seja, aprendizagem ao longo da vida).

1. A etapa de assessment inicial consiste na avaliação das principais características socioemocionais e
competências de cada Participante, sendo realizada logo após a inscrição deste na Plataforma.

2. Para mapeamento das características socioemocionais e identificação das lacunas de
competências, o Participante precisa elaborar uma redação e/ou responder questões variadas até gerar
um conteúdo que apresente entre 600 (seiscentas) e 1.200 (mil e duzentas) palavras, no máximo. A
partir deste conteúdo, a FRST, através de sistema de inteligência artificial, irá realizar uma análise do
perfil socioemocional do Participante e das oportunidades de desenvolvimento de suas competências.

3. Após a conclusão de 80% (oitenta por cento) do assessment inicial pelos Participantes, o Gestor
poderá definir a trilha do Serviço.

3.1. O Gestor poderá optar por definir uma trilha individualizada para cada colaborador ou
definir uma trilha padrão para todos os seus colaboradores.

3.2. A atuação do Gestor nesta fase, contudo, está restrita à escolha da trilha que será oferecida
a cada Participante, não podendo realizar qualquer alteração no conteúdo do relatório de
assessment.

4. Cada trilha possui duração de 4 (quatro) meses e é composta por 3 (três) módulos com duração de
5 (cinco) semanas cada. Os módulos são voltados para o desenvolvimento de uma ou mais
competências dos Participantes.

5. Cada módulo é composto por etapas de aprendizagem teórica e prática, com a submissão de 1
(um) projeto real de aplicação prática.

5.1. A etapa de aprendizagem teórica engloba: (i) ementa do módulo, (ii) 1 (uma) masterclass,
(iii) Problem Based Learning – PBL, metodologia de aprendizado baseada na resolução de
problemas reais, (iv) vídeo-aulas, (v) whitepaper interativo (material de leitura dinâmico para
aprofundamento do conteúdo), (vi) quizzes para avaliar a evolução do conhecimento ao longo do
módulo, (vii) estudo de cases pré-formatados, e (viii) podcast com as respostas do estudo
realizado; bem como ferramentas de interação: (a) comentários e anotações nas videoaulas; (b)
fórum de perguntas e respostas; e (iii) sessões de feedback semanais.

5.1.1. As sessões de feedbacks semanais ocorrerão por meio de lives com especialistas
da FRST Falconi realizadas em dia e horário pré-determinados pela FRST Falconi, com
participação de todas as turmas que iniciarem o mesmo módulo não sendo, portanto,
restritas à participação dos Participantes do Cliente. As sessões serão, ainda, gravadas e
ficarão disponíveis para consulta dos Participantes ao longo da execução do respectivo
módulo.

5.2. A etapa de aprendizagem prática consiste na elaboração de 1 (um) projeto a ser aplicado
em caso real e na submissão do respectivo projeto na Plataforma para: (i) permitir a colaboração
na modalidade peer-to-peer, onde cada Participante realiza contribuições no projeto de outro
Participante; e (ii) que possa ser apresentado em sessão de discussão do projeto em live com
especialista da Plataforma.

5.2.1. A sessão de discussão do projeto ocorrerá em dia e horário pré-determinado pela
FRST Falconi, e será restrita aos Participantes do Cliente.

5.2.2. A colaboração na análise do projeto entre Participantes se dará de forma anônima
e será obrigatória para 1 (um) projeto definido aleatoriamente, podendo o Participante
optar pela análise de mais de um projeto. Esta colaboração na modalidade peer-to-peer
será igualmente restrita aos Participantes do Cliente.

5.2.3. Os projetos reais a serem apresentados pelo Participante na sessão de discussão
do projeto serão selecionados a partir de: (i) livre escolha do Participante e/ou (ii) avaliação
de especialista da FRST Falconi, com base no cumprimento das rubricas de aplicação
prática do conteúdo na construção do projeto real disponíveis dentro de cada módulo.

5.2.4. Os projetos submetidos na Plataforma podem, ainda, ser apresentados em
webinar com a participação de especialista da Plataforma e membros da liderança do
Cliente.

5.3. Ao longo das etapas de aprendizagem, o Gestor terá acesso a relatórios sobre a evolução
da equipe que se encontra em processo de desenvolvimento, podendo acompanhar o
engajamento e performance dos colaboradores no programa.

5.4. Ao concluir 1 (um) módulo, consumindo o conteúdo dos objetos de aprendizagem teórico
e submetendo o projeto real na Plataforma, o Participante recebe 1 (um) Selo de Conclusão de
Módulo e, ao final da conclusão dos 3 (três) módulos que lhe foram atribuídos no Programa Road
of Skills
, o Participante recebe 1 (um) Badge de Conclusão de Trilha.

5.4.1. Ao receber o Badge de Conclusão de Trilha, o Participante estará habilitado a
solicitar a Certificação FRST para os módulos concluídos a partir da apresentação de
projeto real com resultados efetivos, ratificados pela liderança do Cliente e avaliação dos
especialistas da FRST Falconi. Além disso, o Participante poderá retornar à Plataforma na
qualidade de mentor após a conquista da Certificação FRST.

6. Após a finalização da trilha de aprendizado, o Participante poderá realizar novo assessment para
obter a indicação dos próximos passos de sua jornada de desenvolvimento.

7. Os conteúdos relacionados a cada módulo ficarão disponíveis para o Participante por um prazo de
6 (seis) meses a contar da data que iniciar o módulo, estando este prazo limitado à 12 (doze) meses a
contar do início da operação do Programa Road of Skills.

(B) MÓDULO AVULSO DE DESENVOLVIMENTO DE COMPETÊNCIAS

O Módulo Avulso de Desenvolvimento de Competências é composto apenas pelas etapas de
aprendizagem teórica e prática de 1 (um) módulo com duração de 5 (cinco) semanas e mesma
composição descrita na Cláusulas 5.1 e 5.2 da modalidade (a) deste Anexo, com o respectivo
recebimento do Selo de Conclusão de Módulo ao final, respeitado o consumo dos objetos de
aprendizagem teórica e submissão do projeto real na Plataforma pelo Participante.

(C) MÓDULO AVULSO DE SOLUÇÕES FALCONI

O Módulo Avulso de Soluções Falconi é composto por 1 (um) módulo de aprendizagem teórica
composto por (i) ementa do módulo, (ii) vídeoaulas, (iii) material de leitura complementar para
aprofundamento do conteúdo, (iv) quizzes para avaliar a evolução do conhecimento ao longo do
módulo, (v) estudo de cases pré-formatados, e (vi) e-book definido a partir do conteúdo do módulo.

1. O módulo ficará disponível para acesso por 2 (dois) meses, de modo que não será possível
acessar qualquer conteúdo disponível, produzido ou inserido durante sua execução no âmbito da
FRST após este prazo.

2. Ao concluir o módulo, consumindo o conteúdo dos objetos de aprendizagem teórico, o
Participante terá direito a receber 1 (um) Selo de Conclusão de Módulo.

3. Ao longo das etapas de aprendizagem teórica mencionadas acima, o Gestor terá acesso a
relatórios sobre a evolução dos Participantes, podendo acompanhar o engajamento dos mesmos
no programa; e após a conclusão do módulo pelos Participantes, o Gestor poderá ter acesso aos
resultados de engajamento de cada Participante.

 

ANEXO II

FLUXOS DE OPERAÇÃO

Pelo presente instrumento, e conforme disposto no Anexo I aos Termos e Condições de Uso, cada
modalidade de Jornada de Desenvolvimento oferecido na Plataforma possui fluxos de operação
distintos, detalhados a seguir.

(A) PROGRAMA ROAD OF SKILLS

1. Para o formato do Programa Road of Skills, após a confirmação da compra, a FRST Falconi tem o
prazo máximo de 3 (três) dias úteis para liberar o acesso do Gestor à Plataforma.

2. A partir do primeiro acesso, o Gestor deverá realizar o cadastro dos Participantes na Plataforma, de
acordo com a quantidade de licenças adquiridas, observando as regras abaixo:

(i) o Gestor deverá ter cadastrado 100% (cem por cento) das licenças adquiridas para iniciar o
primeiro fluxo de operação do Cliente; e

(ii) o Gestor deve cadastrar e matricular todos os Participantes na trilha de aprendizado
pretendida dentro do prazo de 3 (três) meses, a contar da liberação do acesso do Gestor. Após o
decurso deste prazo, as licenças expirarão; e

3. O Gestor deve definir a data limite para realização do assessment inicial pelos Participantes e
realizar a liberação dos mesmos para que possam realizá-lo o assessment na forma detalhada na forma
destes Termos e Condições de Uso. Após o preenchimento do assessment, o Cliente não poderá realizar
a substituição da licença do respectivo Participante para outro colaborador.

3.1. O Gestor deve, ainda, determinar a data de início da trilha de aprendizado entre opções
pré-definidas pela FRST Falconi, para que as matrículas dos Participantes sejam efetivadas.

3.2. Conforme apontado nestes Termos e Condições de Uso, o Gestor poderá definir a trilha
dos Participantes após a conclusão de 80% (oitenta por cento) dos assessments. Contudo, caso
este percentual não seja atingido até a data estabelecida pelo Gestor, será permitida apenas 1
(uma) extensão de prazo para sua conclusão.

3.3. No prazo de 5 (cinco) dias úteis contados da data de finalização da trilha de aprendizado
pelos Participantes, o Gestor poderá liberar a realização de novo assessment, não podendo
ultrapassar o prazo da data limite de 1 (um) mês contado a partir da data de liberação.

(B) MÓDULO AVULSO DE DESENVOLVIMENTO DE COMPETÊNCIA

1. Para o formato do Módulo Avulso de Competência, após a confirmação da compra, a FRST Falconi
tem o prazo máximo de 5 (cinco) dias úteis para liberar o acesso do Participante à FRST.

2. Aplicam-se as previsões da Cláusula 3 referentes ao Programa Road of Skills, no que for aplicável,
limitando-se as atividades e prazos apenas para o módulo adquirido e com alteração nas interações de
sessões de feedback e de discussão do projeto não serão restritas aos Participantes do Cliente.

(C) MÓDULO AVULSO DE SOLUÇÕES FALCONI

1. Para o formato do Módulo Avulso de Soluções Falconi, após a confirmação da compra, a FRST
Falconi tem o prazo máximo de 5 (cinco) dias úteis para liberar o acesso do Gestor à FRST.

2. A partir do primeiro acesso, o Gestor deverá realizar o cadastro dos Participantes na FRST, de
acordo com a quantidade de licenças adquiridas, conforme nestes Termos e Condições de Uso,
observando que:

(i) o Gestor deverá ter cadastrado 100% (cem por cento) das licenças adquiridas para iniciar o
primeiro fluxo de operação do Cliente; e

(ii) o Gestor deve cadastrar e matricular todos os Participantes no módulo pretendido dentro do
prazo de 3 (três) meses, a contar da liberação de seu acesso. Após o decurso deste prazo, as
licenças expirarão.

3. O Gestor deve, ainda, determinar a data de início do módulo entre opções pré-definidas pela FRST
Falconi, para que as matrículas dos Participantes sejam efetivadas.
